Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Holdfast Community LLC ("Roost," "we," or "us"), an Oregon LLC that operates the Roost directory at roost.directory and related apps (the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you're using the Service for an organization (PTO, PTA, school, district, sports league, church, HOA, etc.), you confirm you have authority to bind that organization, and "you" means both you and the organization.

We'll communicate with you by email or in-app notices, which have the same legal effect as written notices. For paper copies, email legal@roost.directory.

1. Eligibility and Accounts

You must be 18 or older to create an account. The Service is for adults only.

How Your Information Entered the Directory

An organization you belong to, which may include but are not limited to PTOs, PTAs, HOAs, foundations, and potentially school districts (“Subscribing Organization”) licenses Roost on your behalf. You may have entered the directory in one of two ways:

  • Opt-in: Your Subscribing Organization loaded your information, but other members can't see it until you sign in and choose to participate.
  • FERPA directory information (“FERPA Framework”): Your school district designated your contact info as FERPA "directory information," gave you the required opt-out chance, and shared it with Roost. Your info is visible by default — you can adjust this with your visibility controls.

Either way, these Terms apply to you, and you accept them the first time you sign in.

Your Account

One account per person. You may not create multiple accounts.

  • Keep your sign-in email secure. You're responsible for everything that happens under your account.
  • You agree to provide accurate, current, and complete information and to keep it up to date. Impersonating another person, falsely claiming a relationship to a child, falsely attesting to be the legal guardian of a listed minor, or misrepresenting your affiliation with an organization is grounds for immediate termination.
  • Your access depends on your membership in a Subscribing Organization. If you leave the Subscribing Organization, you may lose access.
  • Listing-only accounts: If your listing was created through a recommendation, you get a limited account that lets you manage your listing only — not browse the directory.
  • Circle-only accounts: If you join a Shared Circle (see below) without belonging to a Subscribing Organization, you get a limited account that exists only within the circles you join — it grants no access to any organization's directory.

Shared Circles

Roost lets members create Shared Circles to connect with specific people across schools and communities. A Shared Circle is private to its members and separate from any organization's directory. Joining a Shared Circle — or accepting an invitation to one — is your consent to be visible to that circle's other members; you choose what you share within it and may leave at any time. Adding or recommending another person to a circle does not make them visible until they accept.

Volunteer Matching

Some optional features — such as volunteer matching — use information you choose to provide, together with your own children's grade and class, only to suggest you for opportunities within your own organization. These features are off until you turn them on, never sign you up for anything automatically, and can be turned off or cleared at any time. If you choose to sign up for a volunteer role, job, or shift, your name is shown to the organizer and to others helping with the same thing. Organizers may reach out to you about an opportunity through Roost; doing so does not share your contact information with them.

2. Acceptable Use

Use the Service only for its intended purpose — connecting with other members of Subscribing Organizations. Don't:

  • Misuse contact info: No spam, marketing, political solicitations, or fundraising appeals (other than those run by your own organization) using info you got through the Service.
  • Harass, threaten, or stalk anyone, or contact someone who has indicated they don't want to be contacted.
  • Scrape or redistribute member data, whether by automated tools or manual collection.
  • Falsely claim to be a child's guardian, or list a minor in Trusted Help if you're not their legal guardian.
  • Misuse Trusted Help: Don't post listings without genuine intent to provide services, contact minors directly through the module, or use listing contact info for anything other than discussing the listed services.
  • Try to view information a member has hidden via their visibility settings.
  • Reverse-engineer or decompile the Service, conduct penetration testing, vulnerability scanning, automated probing, or load or stress testing, circumvent any access control, probe for vulnerabilities, introduce malicious code, or interfere with anyone else's access — except with our prior written authorization.
  • Resell, sublicense, or use the Service to build a competing product.
  • Violate any law — including privacy, harassment, stalking, child safety, and electronic communications laws.
  • Post unlawful content — including material that infringes IP rights, reveals trade secrets, is defamatory, obscene, threatening, harassing, or hateful, or contains malicious code.

Reporting: Use the "Report this listing" link on any Trusted Help listing, or email legal@roost.directory for account-level issues. We investigate credible reports and may suspend accounts, hide listings during review, or remove listings.

3. The Trusted Help Module

Roost Does Not Vet Listed Persons

When you use Trusted Help, you understand that Roost does not vet, verify, screen, background-check, or vouch for anyone listed. Every listing is either self-posted by an adult, posted by a guardian for a minor (with attestation), or posted by a recommender (with the listed person's confirmation). It includes individuals offering services to Subscribing Organization members, which may include but not limited to, childcare, academic tutoring, coaching, mentoring, and similar trust-dependent services.

The trust signal is your community connection — not Roost. Do your own due diligence before contacting, hiring, or entrusting your child to anyone you find here.

Self-Listed Adults

If you list yourself, you confirm you have the legal right to provide the services described, hold any required licenses or qualifications, and that your listing is accurate. You may edit or remove your listing at any time.

Parent-Listed Minors

If you list a minor in your family, you represent and warrant that:

  • You are the legal guardian of the minor.
  • The minor has consented to being listed (to the extent they are old enough to consent).
  • The minor is between 13 and 21 years of age.
  • All inquiries will route through your contact information — you will not share the minor's direct contact information unless you have decided that is appropriate.
  • You will keep the listing accurate and remove it when the minor is no longer offering services.

You must check a guardian-attestation box when creating the listing — we record it with a timestamp. You're responsible for the listing and for the minor's conduct in any services arranged through it. We never collect or display the minor's contact info; all contact routes through you.

Recommended Adults

If you recommend another adult, you represent that you have a reasonable basis for the recommendation and believe they're of good character. The recommended person must confirm the listing before it goes live; if they don't respond within seven (7) days, the listing is deleted. Once confirmed, ownership transfers to them — your name stays as recommender, but you lose edit rights.

Reporting and Moderation

Anyone with access to a listing can report it. Safety-concern reports may auto-hide the listing pending review. Roost may remove any listing for any reason, including Terms violations, credible safety reports, or owner inactivity.

No Employment or Referral Relationship

Roost is just a facilitation tool. We don't employ listed persons, act as their agent, set rates, hold funds, or collect referral fees. Any agreement between a family and a sitter or tutor is solely between them.

4. FERPA Framework for K-12 Deployments

This section applies only when the Subscribing Organization is a school district.

District Representations

By sharing parent/guardian contact info with Roost under the FERPA Framework, the district represents and warrants that:

  • It has designated the shared information as "directory information" under FERPA (20 U.S.C. § 1232g; 34 C.F.R. § 99.37).
  • It has provided the annual FERPA notification, including the right to refuse disclosure.
  • It gave parents a reasonable period to opt out and has honored all opt-outs received.
  • The data shared with Roost excludes anyone who exercised the FERPA opt-out.
  • The data is accurate and current, and the district has the legal authority to share it with Roost.

Opt-Out Requests Received Through Roost

When a parent uses our in-app visibility controls, their info is hidden from other users immediately — but their district roster record is unchanged. If a parent asks to be removed from the district's record, we'll refer them to the district, which is responsible for honoring opt-out requests it receives directly.

Organization Administrator Access

"Organization Administrator" is a person designated by the Subscribing Organization to maintain its directory in Roost. Organization Administrators may have elevated access to maintain the directory. They may not extract bulk member data, use the directory for any other purpose, or share credentials with unauthorized personnel.

5. Subscription and Payment

How Payment Works

Roost is licensed by Subscribing Organizations, not individual members. If Subscribing Organization has licensed Roost, your access is free to you.

If you're setting up Roost for an organization, we'll present subscription terms and pricing at purchase. Subscriptions are typically billed annually in advance. Accepting these Terms and paying creates a binding subscription.

Billing and Renewal

Subscriptions auto-renew at the end of each billing period unless cancelled at least 30 days before the renewal date. We'll email a renewal notice at least 60 days in advance.

Cancellation

To cancel, email billing@roost.directory. Cancellation takes effect at the end of the current billing period. We don't refund partial periods except where required by law. After cancellation, you can access your data for 90 days, then it's permanently deleted.

Price Changes

We may change pricing for future renewal periods only — never mid-subscription. We'll give at least 60 days' notice before a price change takes effect.

Taxes

Subscription fees don't include taxes — you're responsible for any taxes assessed on your subscription.

Payment Authorization

By providing a payment method, you authorize us to charge all fees owed under these Terms until you cancel. Fees are non-refundable once incurred, except where required by law.

6. Intellectual Property

Our Intellectual Property

The Service — including its software, design, branding, and documentation — is owned by Holdfast Community LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, or create derivative works of the Service without our prior written consent.

Your Information

You own the personal information you provide, including any listings you create. By using the Service, you grant us a limited license to use that information to operate the Service, as described in our Privacy Policy.

Organization Data

When an organization shares member data with us, it represents it has the right to do so. The organization keeps ownership and may request return or deletion at any time, subject to its agreement with us.

Content You Upload

You're responsible for everything you upload. By uploading, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely to provide the Service. You represent your content doesn't infringe anyone else's rights.

Copyright Infringement Claims

If you believe content on the Service infringes your copyright, email legal@roost.directory with: (a) identification of the infringing material; (b) a good-faith belief statement that the use is unauthorized; (c) a statement under penalty of perjury that your information is accurate; and (d) your contact information and signature.

Feedback

If you send us feedback, suggestions, or ideas, you agree we may use that feedback without obligation or compensation.

7. Privacy

Our Privacy Policy is part of these Terms (incorporated by reference). By using the Service, you agree to it.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION PROVIDED BY OTHER USERS OR ORGANIZATIONS IS ACCURATE OR COMPLETE.

TRUSTED HELP DISCLAIMER: WE DO NOT VET, VERIFY, SCREEN, BACKGROUND-CHECK, OR OTHERWISE VOUCH FOR ANY PERSON LISTED IN THE TRUSTED HELP MODULE. ALL INFORMATION IN A LISTING IS PROVIDED BY THE LISTING'S OWNER. YOU ASSUME ALL RISK ASSOCIATED WITH CONTACTING OR ENTRUSTING YOUR CHILD TO ANY PERSON YOU FIND THROUGH THE MODULE.

FERPA / DISTRICT DATA DISCLAIMER: WHERE THE SERVICE IS DEPLOYED UNDER THE FERPA FRAMEWORK, WE RELY ON THE DISTRICT'S REPRESENTATIONS THAT IT HAS FOLLOWED THE FERPA NOTIFICATION AND OPT-OUT PROCESS. WE DO NOT INDEPENDENTLY VERIFY FERPA COMPLIANCE. ANY CLAIM ARISING FROM A DISTRICT'S FAILURE TO COMPLY WITH FERPA IS A CLAIM AGAINST THE DISTRICT, NOT AGAINST ROOST.

THE SERVICE IS NOT FOR EMERGENCY USE. DO NOT RELY ON THE SERVICE TO CONTACT EMERGENCY SERVICES OR COMMUNICATE TIME-SENSITIVE SAFETY INFORMATION ABOUT CHILDREN.

9. Indemnification

You agree to indemnify and hold harmless Holdfast Community LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your misuse of the Service; (c) your violation of any law or third-party rights; (d) content or information you provide; (e) any Trusted Help listing you create or recommend, including any false guardian attestation; or (f) any services arranged through the Service.

If you're a school district subscribing under Section 4, you also agree to indemnify Holdfast Community LLC from claims arising out of your failure to comply with the FERPA opt-out obligations in Section 4, your failure to honor an opt-out received through district channels, or the inaccuracy of data you provide to Roost.

Individual parent users are not responsible for indemnifying Roost for a district's failures.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLDFAST COMMUNITY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRUSTED HELP: WE ARE NOT RESPONSIBLE FOR ANY CONDUCT, ACT, OR OMISSION BY A LISTED PERSON; ANY INCIDENT, INJURY, DAMAGE, OR DISPUTE ARISING FROM SERVICES ARRANGED THROUGH ROOST; OR ANY DECISION YOU MAKE BASED ON A LISTING OR RECOMMENDATION.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU OR YOUR SUBSCRIBING ORGANIZATION PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. If those laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.

11. Termination

Termination by You

Stop using the Service any time. To delete your account, email billing@roost.directory or contact your Subscribing Organization's administrator.

Termination by Us

We may suspend or terminate your access, with or without notice, if we believe in good faith that you've violated these Terms, your Subscribing Organization's subscription ends, there's a credible safety report against a listing you control, or we discontinue the Service.

Effect of Termination

On termination, your right to use the Service ends. Provisions that should survive by their nature — intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

12. Dispute Resolution and Governing Law

Governing Law

Oregon law governs these Terms, without regard to its conflict-of-laws rules.

Informal Resolution First

Before filing a formal claim, email legal@roost.directory and give us a reasonable chance to resolve the dispute. Most disputes are resolved this way.

Binding Arbitration

If informal resolution fails, disputes will be resolved by binding arbitration in Portland, Oregon, under American Arbitration Association rules. Costs are split equally, but the arbitrator may award costs and fees to the prevailing party.

Venue for Non-Arbitrable Claims

Any claim not subject to arbitration must be brought exclusively in state or federal courts in Multnomah County, Oregon. You consent to those courts' personal jurisdiction.

No Class Actions

You agree to bring claims only in your individual capacity — not as a plaintiff or class member in any class, collective, or representative action.

13. Changes to These Terms

For material changes — including ones that affect Trusted Help, modify the Section 1 consent models, expand the data we collect, change our liability disclaimers, or change dispute resolution — we'll get renewed acceptance from active users before the change takes effect. You'll see a notice next time you sign in.

For non-material changes (clarifications, address updates, etc.), we'll email you at least 30 days before they take effect.

The "Last updated" date at the top shows when we last revised these Terms. We keep a record of which version you accepted and when. Continued use after updated Terms take effect means you accept them.

14. Miscellaneous

  • Entire agreement: These Terms, the Privacy Policy, and any separate organization agreement are the entire agreement between you and us regarding the Service.
  • Severability: If any provision is unenforceable, it will be modified to the minimum extent necessary, and the rest will remain in full force and effect.
  • No waiver: If we don't enforce a provision, we don't waive our right to enforce it later. Waivers are effective only in writing.
  • Assignment: You may not assign your rights or obligations without our written consent. We may assign ours freely.
  • Notices: We may send notices to you by email at the address on your account. Send notices to us at legal@roost.directory.
  • Force majeure: We're not liable for delays or failures caused by events beyond our reasonable control — natural disasters, war, civil unrest, government action, internet/telecom failures, pandemics, etc.
  • Headings: Section headings are for convenience only and do not affect interpretation.
  • Publicity: By using the Service, you agree we may reference your Subscribing Organization's use of Roost in our marketing. Member data stays confidential.
